1.1. “REGASCO” refers to Republic Gas Corporation.

1.2. “User” refers to each account registrant of REGASCO application.

1.3. “Application” application refers to the application installed from google play by the user.

1.4. “Buyer” refers to the person who will avail the products of REGASCO through this application.

Welcome Ka-REGASCO! As part of REGASCO’s commitment to provide quality LPG products, we welcome you to Application. This is an online platform that offers an easy avenue for all our Ka-REGASCO buyers to check out the latest products and promotions of REGASCO at the tip of their fingers and at the convenience of their place.

These Terms and Conditions form the contract between its Users and Buyers, and REGASCO, the registered trademark owner, seller and exclusive authorized to refill Liquified Petroleum Gas (“LPG”) to its cylinders.

Before becoming a User of this Application, you must read and accept all of the Terms and Conditions, and you must consent to the processing of your personal data as described in the Privacy Policy linked hereto. By becoming a User and as a result of creating an account to this Application, you are deemed to have irrevocably accepted and consented to the Terms and Conditions of this Contract, including any additional terms, conditions, and policies that may be later established.

You agree that by creating an account in this Application, you already reached the age of 18 years old, can read and write, and can determine sound judgment. In case you are below the age of 18 years old or any age where age of majority begins, you have obtained the affirmative permission of your parents or legal guardians to create a REGASCO account and access its services, who will assume full responsibility for the use of this Application. In case of doubt, REGASCO encourages you not to continue creating an account until you have determined your appropriate age suitable for this Application.

Although REGASCO ensures the security of the system within this application, it is solely the User’s responsibility to secure their connections, including but not limited to the internet, while using and accessing this Application. Users must access and provide information only with the correct application.

REGASCO has the right to adjust, alter, suspend, or terminate any portion of this Application or block access to certain parts at any time with or without prior notice. Further, REGASCO retains the discretion to deny access to the Application and/or any of its Services, or to refuse the creation of an Account for any reason.

II. INTELLECTUAL PROPERTY OWNERSHIP

You acknowledge that REGASCO lawfully owns all trademarks, service marks, brand names, logos, and other forms of intellectual property displayed on this application. The User using this Application, you are not granted any direct or indirect right or license to use, utilize, or reproduce any and all of REGASCO’s intellectual property. Your use and access of this Application is limited only, and you must comply with copyright, trademark, service mark, and all other applicable laws protecting REGASCO’s intellectual property, the Application, and its content. You agree not to copy, distribute, republish, transmit, publicly display, publicly perform, modify, adapt, rent, sell, or create derivative works of any portion of this Application without the consent of REGASCO.

III. ACCOUNT

1.1. Username and Password

In accessing this Application, the User is required to provide his/ her account details such as complete name, birthday, address, contact number, image, and location. Thereafter, the User is required to designated his/ her username. Upon signing in, the User is required to input his/ her username and a corresponding One-Time-Pin (“OPT) as password that will be sent to his/ her registered contact details provided in creating an account in order to gain access to this Application.

The User is responsible to create and maintain in confidence a unique username and OTP. the User acknowledges that it is his/ her liability any transactions performed using his/ her username and OTP. For security purposes, the User agrees to do the following security measures: a.) To log out this Application after a completed transaction; b.) To never provide his/ her OTP to any user; c.) To protect from any unauthorized use;

1.2. One – Time – Pin (“OTP”)

The User guarantees that the contact details provided in creating an Account to this Application is owned by the User and has exclusive access thereto.

The receipt of OTP may vary depending on the internet connection and signal availability of the registered contact details that will cause delay in the delivery of the OTP. The request for another OTP may be process only after a two (2) minute interval from the last request. In that case, the User acknowledges that it is beyond the control of REGASCO and as such the User holds free and harmless REGASCO from any liability that may arise by reason of such delay.

The user is obligated to maintain the confidentiality of the OTP and take all necessary measures to prevent its disclosure to any other individual.

1.3. Electronic Notice

REGASCO may communicate to its Users with the use of this Application by sending marketing notices regarding its promotions, price updates and other pertinent notices for their convenience. The User agrees to: a.) Receive these marketing notices thru this Application and b.) Receipt of these marketing notices may vary depending on the connection and signal of the User; and c.) User maintain the confidentiality of the marketing notices and acknowledges that the same is subject to the terms and conditions of such marketing promotion.

1.4. User Information

The User warrants that upon creating an account in this Application, all the information he/ she has provided are all true and accurate. REGASCO shall not responsible for any inaccurate details that may result in difficulty in creating an account or difficulty in accessing the services provided in this Application.

The User shall be responsible that his/her REGASCO account in this application will not be used in any unauthorized transactions and purchases of the services of REGASCO. The User acknowledges that it is his/ her responsibility to complete all transactions that has been made in his/ her account.

1.5. The User agrees that in using this Application he/ she shall: (a) maintain the confidentiality of his/ her username and OTP as password; (b) log out the Application after each session; (c) promptly notify REGASCO of any unauthorized use of his/ her account; and (d) prevent any unauthorized use of your account. Any use this account by another party, whether authorized or not, is considered as the User’s own act, and all transactions conducted therein are deemed to have been carried out by the User whose information and image are displayed on this Application. REGASCO bears no responsibility for any losses or damages resulting from the unauthorized use of this account.

1.6. You acknowledge that REGASCO reserves the right, at its sole discretion and with or without prior notice to the User, to immediately terminate or suspend account, cancel or suspend any transactions associated with this account, temporarily or permanently withhold any sale transactions or replacements, or take any other actions deemed necessary by REGASCO under the circumstances. Grounds for such termination, suspension, or cancellation may include, but are not limited to: (a) violation of the Terms and Conditions; (b) repeated cancellation of orders; (c) insufficient payment; (d) engagement in illegal, fraudulent transactions or harassing, defamatory, threatening, or abusive behavior towards chat support; (e) creation of multiple user accounts; and (f) purchasing products on the Site for the purpose of resale in any platform or manner. Any misuse of an Account for illegal, fraudulent, harassing, defamatory, threatening, or abusive purposes may result in referral to law enforcement authorities without prior notice. In the event of a legal dispute or law enforcement action relating to this Application, REGASCO reserves the right to immediately terminate this account, with or without notice, and without prejudice in filing appropriate legal actions.

IV. TERMS OF USE

REGASCO is committed to providing strategically convenient showrooms that will assure its users, buyers, and customers of selecting their preferred showroom and finding the nearest one that can supply their order. It is the User/ Buyer’s responsibility to place their orders in this Application within the hours of 8:00 in the morning, where the nearest showroom will open its stores, until the showroom’s last ten (10) minutes before the closing of the showroom, Monday to Sunday, except in cases of allowed business closures. The User/ buyer is responsible for choosing the correct items he/ she will purchase through this Application and the number of orders it will purchase.

You are obligated to adhere to all relevant laws and regulations in using this Application. This entails refraining from manipulating identifiers or headers to conceal the source of LPG cylinders transmitted through this Application, avoiding actions that benefit unauthorized third parties to the detriment of the trademark owner, and refraining from creating multiple user accounts to contravene this Application. Additionally, User must not access this Application or use non-official Regasco hardware, software, or applications. User also agrees to refrain from manipulating the prices of trademarked items as listed in this Application, use this Application to gather information about other Users, uploading content that violates intellectual property rights, or any other illegal acts, transactions and mechanisms in order to detriment the trademark owner. Furthermore, you must not use the site for harassment, stalking, or invasion of privacy, nor infringe upon REGASCO’s intellectual property rights or engage in any acts of passing off. Finally, you consent to REGASCO’s access, preservation, and disclosure of your account information provided on this Application to comply with legal requirements and the Application’s terms and conditions.

V. VIOLATION OF TERMS AND CONDITIONS

Violations of the terms and conditions set forth in this Site may result to account suspension, or account termination without prejudice to the filing of appropriate criminal and/ or civil charges.

VI. PURCHASE AND PAYMENTS

REGASCO offers the following payment methods to its Users and Buyers:

1. Cash on Delivery (COD) – Buyers may pay cash directly to the REGASCSO delivery rider upon his/ her receipt of the purchased item in the application. The User/ Buyer commits to pay in full amount of the order selected and confirmed in this Application.

The User/ buyer shall only pay to the REGASCO delivery rider only. Any payment made in any other person, agency, or misrepresentation shall not be honored by REGASCO. In case of shortage in the Cash payment, the REGASCO delivery rider may, upon approval of the Branch Head where the LPG cylinders of REGASCO were ordered, allow to receive gcash payment in order to complete the payment of the orders. The User/ Buyer shall only send such gcash payment through the authorized gcash QR code of the showroom where he/ she ordered. Any payment made not in the official gcash QR of the showroom where the order had been placed shall not be considered as payment to the orders made via this Application.

REGASCO reserves the right to verify whether the User/Buyer opting for Cash on Delivery is eligible for this payment method based on the user’s track record on this Application.

Upon receipt of the full payment and delivery to the User/ Buyer, the REGASCO delivery rider shall take a photo of the orders together with the receipt that will be given to the Buyer as proof of completed transaction.

2. Debit Card

Users/ Buyers may also opt to pay his/ her orders in this Application via Debit Card. Card payments are processed through third-party payment channels of the User/ Buyer’s debit card. All fees related to the use of their services may vary depending on the User’s/Buyer’s debit card’s processing guidelines. It is understood that the fee imposed by the card company is not part of the purchase price of the LPG cylinders. The User/ Buyer shall be responsible in maintaining a secured internet connection and signal in order to proceed with this payment method. The User/ Buyer also warrants that REGASCO and this Application are not liable for any unwanted or unauthorized transactions that may be incurred by the User/ Buyer. The User/ Buyer is also responsible for maintaining confidential all the information such as name, card number, dates indicated in the card, and other information of his/ her debit card and not allow any unauthorized person from using the same. The User/ Buyer using this payment method holds frees this Application and REGASCO, it officers, directors, and employees from any liability or claim that may arise in using their debit cards in purchasing in this Application.

3. E-wallet

Users/ Buyers may choose to pay his/ her orders in this Application via E-wallet. Payments are processed through third-party payment channels of the User/ Buyer’s E-wallet. All fees related to the use of their services may vary depending on the User’s/Buyer’s e- wallet processing guidelines. It is understood that the fee/s imposed by the e-wallet is not part of the purchase price of the LPG cylinders. The User/ Buyer shall be responsible in maintaining a secured internet connection and signal in order to proceed with this payment method. The User/ Buyer also warrants that REGASCO and this Application are not liable for any unwanted or unauthorized transactions that may be incurred by the User/ Buyer in using their e-wallet in paying in this Application. The User/ Buyer is also responsible for maintaining confidential all the information such as name, card number, dates indicated in the card, and other information of his/ her e-wallet and not allow any unauthorized person from using the same. The User/ Buyer using this payment method holds frees this Application and REGASCO, it officers, directors, and employees from any liability or claim that may arise in using their e-wallet in purchasing in this Application.

User/ Buyer acknowledge that his/ her preferred payment method can only be selected or changed before completing the payment process and can no longer be changed thereafter. Unless there is a valid reason, REGASCO may temporarily suspend this payment option until the User/ Buyer has successfully completed at least three (3) transactions using other payment methods available on this Application. Furthermore, any claims related to the use of these payment methods must be addressed directly to the respective payment channels withholding the payment.

VII. REGASCO GUARANTEE

The Regasco Guarantee applies exclusively to Buyers who have availed the services and purchased through this Application and have completed his/ her payment. Orders and payments made outside of this Application are not eligible for coverage under the REGASCO Guarantee.

The Regasco Guarantee refers to the replacement of all LPG cylinders purchased through this Application. The User/ Buyer agrees that requests for replacement must be communicated within Twenty – Four (24) hours after the delivery of the LPG cylinder to the Buyer, using the contact details and channels provided on this Application. After the lapsed of such time, no replacement shall be entertained.

VIII. DELIVERY

REGASCO, via this Application, will notify the Users/ Buyer of this account once the selected showroom has received the Users/ Buyer’s order. It is understood that the showroom nearest to the location of the Users/ Buyer shall take the order of the Users/ Buyer, unless there is a valid reason for that showroom not to accept such order. Upon the confirmation of the Order from the Showroom, the same is required to arrange the delivery of the purchased item to the User/ Buyer as soon as the REGASCO Delivery rider becomes available. For delivery purposes, the User/ Buyer agrees to utilize the details he/ she has provided in this account, along with any additional information that will be necessary for delivery purposes.

REGASCO is obliged to exert their best efforts to ensure that the User/ buyer receives their orders the soonest time possible within the delivery date. The delivery courier will be managed by the showroom selected by the buyer at no extra cost. REGASCO is responsible for facilitating complaints from User/buyers in cases where the product has not been received within the day. In case the User/Buyer has not received the product within the day, he/ she must notify REGASCO customer service via this Application.

It is understood that REGASCO’s responsibility is limited to facilitating User/Buyer complaints and/or coordinating with the delivery of the selected showroom. In case the User/Buyer fails to provide notice before the close of the business day when the order was made, it will be presumed to have received the item in good and functional condition.

IX. CANCELLATIONS AND REPLACEMENTS

The User/buyer may only cancel his/her order before it has submitted their order through this Application. Cancellation is no longer allowed once the order has been confirmed by the buyer to be complete and in accordance with his/ her desired LPG as to kilos and brand and had been confirmed by REGASCO Showroom. The User/ Buyer warrants that the order that has been made through this Application was made by him/ her. It is the responsibility of the User of this Application that all transactions were made with his/ her consent and knowledge and shall be held liable for its payment. REGASCO reserves the right to cancel any transaction on the Application in case of non-payment, insufficient payment, and all other valid/legal purpose as determined by the showroom.

REGASCO warrants that all LPG cylinder that will be released from orders from this Application shall be a REGASCO LPG cylinder in good working condition and function, properly refilled with the correct kilograms, not tampered, and with the trademark’s valve seal.

Replacement of LPG cylinders ordered and purchased through this Application may only be replaced in cases of the following: a.) it has been confirmed by the REGASCO delivery rider that the LPG cylinder that it has delivered to the User/ Buyer has a bubble after conducting a testing; b.) Upon checking of the REGASCO delivery Rider, the User/ Buyer has a different LPG regulator that will not fit for proper use of the purchased LPG.

X. REGASCO’S RESPONSIBILITIES

REGASCO will properly oversee and guarantee the accuracy of information posted in this Application, including the prices of its items and services, inventory status, and promotions, ensuring that this Application is regularly updated, and that no inaccurate details are posted. The User/ Buyer acknowledges that REGASCO reserves the right to conduct promotional activities at its discretion, such as prices adjustments or offering discounts. The final price paid by the Buyer will reflect any adjustments made during such promotions.

REGASCO guarantees the issuance of official receipts to its buyers and takes responsibility for paying all taxes required for the importation and processing of the items showcased for sale on this Application.

XI. DISPUTES

In case of disputed that may arise by reason of this Application, both the User/ Buyer and Seller (REGASCO) commit to initially communicate with each other all matters and exert its best effort to resolve the dispute through an amicable resolution. In case the matter cannot be resolved amicably, it may then be escalated to the REGASCO head office.

The User/Buyer and the Seller (REGACO) acknowledges that no dispute arising from the use of this Application in purchasing the goods and availing the services of REGASCO shall be instituted before the court without undergoing through mediation and the same failed to reach an amicable resolution.

XII. BUYER REPRESENTATIONS AND WARRANTIES

I, the User of this Application, guarantees that I have the legal authority (and if underage, the proper consent from a parent or legal guardian), the right, and the capability to agree to these Terms and Conditions and adhere to their terms and have read the contents of thereof. I commit to use this Application solely for lawful purposes, in line with these Terms and Conditions, and in compliance with all relevant laws, rules, codes, directives, guidelines, policies, and regulations.

I further warrant the following: 1.) all information I will provide in this Application are all true and correct and will not make any misrepresentations; b.) maintain the confidentiality of all the information I will provide in this Application such as but not limited to my personal details, card and e wallet details, whichever is applicable and if applicable, OTPs and all other information; c.) not allow the use of this account from any person other than the person whose name and information has been given; and d.) all transactions are all made with the User’s knowledge and consent.

XIII. SEVERABILITY

In case any part of this Terms and Conditions is considered illegal, invalid, or unenforceable, that part will be separated from the rest of the other terms and conditions not affected by their validity and enforceability.

XIV. GOVERNING LAW

This Terms and Conditions in using the REGASCO Application shall be governed by and construed in accordance with the laws of the Republic of the Philippines.

AS I COFORM TO THIS TERMS AND CONDITIONS, I HAVE HERETO WRITE MY NAME IN AN ELECTRONIC FORM AND INDICATE THE DATE WHEN I CONFORM HERETO. I VOLUNTARILY CREATING A DIGITAL SIGNATURE WITH THE SAME EFFECT AS IF I HAD SIGNED MY NAME MANUALLY.
